These Terms of Service (“Terms”) govern your access to and use of the AXA Property Management System platform, website, and related services (collectively, the “Services”) provided by AXA Property Management System (“AXA,” “we,” “us,” or “our”).
By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
1. Service Description
AXA provides a cloud-based property management system designed for independent hotels, boutique properties, hostels, and vacation rentals. Our Services include:
- Property management and front desk operations
- Reservation management and booking engine
- Channel manager integration with online travel agencies (OTAs)
- Rate and revenue management tools
- Guest communication and CRM
- Housekeeping and maintenance management
- Reporting and analytics
- Payment processing integration
2. Account Terms
- You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.
- You must provide accurate, complete, and current information when registering for an account. You agree to update this information as necessary.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must notify us immediately at support@axapms.com if you suspect unauthorized access to your account.
- One person or organization may maintain multiple accounts for different properties, but a single property should not have duplicate accounts.
3. Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Services for any illegal or unauthorized purpose.
- Attempt to gain unauthorized access to any part of the Services, other accounts, or connected systems.
- Upload or transmit viruses, malware, or other harmful code.
- Interfere with or disrupt the integrity or performance of the Services.
- Reverse engineer, decompile, or disassemble any aspect of the Services.
- Use the Services to send unsolicited communications (spam) to guests or third parties.
- Resell, sublicense, or redistribute the Services without our written consent.
- Use automated scripts, bots, or scrapers to access the Services without authorization.
4. Subscription Plans and Pricing
- Free Trial: We may offer a free trial period. The duration and terms of the trial will be specified at sign-up. No credit card is required for the trial unless stated otherwise.
- Paid Plans: After any trial period, continued use of the Services requires a paid subscription. Current pricing is available on our Pricing page.
- No Long-Term Contracts: All subscriptions are month-to-month unless you choose an annual plan. There are no mandatory long-term commitments.
- Channel Manager Included: Our channel manager is included in all paid plans at no additional charge.
- Price Changes: We may adjust pricing for future billing cycles. We will provide at least 30 days’ written notice of any price changes. Existing customers on annual plans will not be affected until their renewal date.
- Taxes: All fees are exclusive of applicable taxes, which will be added to your invoice where required by law.
5. Payment Terms
- Billing Cycle: Subscriptions are billed monthly or annually in advance, depending on your chosen plan.
- Payment Methods: We accept payment via credit card, debit card, and other methods as indicated on our platform. Payments are processed by our third-party payment provider (Stripe).
- Failed Payments: If a payment fails, we will notify you and provide a grace period of 7 days to update your payment information. After the grace period, your account may be suspended.
- Invoices: Invoices are available in your account dashboard and are sent to your registered email address.
6. Refund Policy
- Monthly Plans: You may cancel at any time. No refunds are issued for partial months, but you will retain access until the end of your current billing period.
- Annual Plans: If you cancel within the first 30 days of an annual subscription, you are eligible for a full refund. After 30 days, no refunds are issued, but you retain access until the end of the annual billing period.
- Free Trial: No charges are incurred during the free trial. If you do not subscribe after the trial, your account is simply deactivated.
- Billing Disputes: If you believe you have been incorrectly charged, contact us at billing@axapms.com within 60 days. We will investigate and resolve the issue promptly.
7. Cancellation
- You may cancel your subscription at any time through your account settings or by contacting support@axapms.com.
- Upon cancellation, you will retain access to the Services until the end of your current billing period.
- After your subscription ends, your data will be retained for 30 days to allow for reactivation or data export. After 30 days, your data will be permanently deleted.
- No Cancellation Penalties: We do not charge early termination fees or cancellation penalties.
- Data Export: Before cancellation, you may export your data at any time through the platform’s export functionality. Your data belongs to you.
8. Data Ownership and Portability
- Your Data: You retain full ownership of all data you input into the Services, including property information, guest records, reservations, and financial data.
- License to Us: You grant AXA a limited, non-exclusive license to use your data solely for the purpose of providing and improving the Services.
- Data Export: You may export your data at any time in standard formats (CSV, JSON) through the platform.
- Data Deletion: Upon account termination, we will delete your data in accordance with our Privacy Policy and applicable data retention requirements.
9. Service Availability and Uptime
- We strive to maintain high availability and target 99.9% uptime for the Services.
- We may perform scheduled maintenance during off-peak hours and will provide advance notice when possible.
- We are not liable for service interruptions caused by circumstances beyond our reasonable control, including internet outages, third-party service failures, natural disasters, or force majeure events.
- In the event of a significant service outage exceeding 24 hours, affected customers on paid plans may be eligible for service credits. Contact support@axapms.com to request a credit.
10. Third-Party Integrations
- The Services integrate with third-party platforms including OTAs (Booking.com, Expedia, Airbnb), payment processors, and other hospitality tools.
- Your use of third-party integrations is subject to the respective third party’s terms of service and privacy policies.
- We are not responsible for the availability, accuracy, or performance of third-party services.
- We may add, modify, or discontinue integrations at our discretion with reasonable notice.
11. Intellectual Property
- The Services, including all software, design, text, graphics, logos, and trademarks, are owned by AXA and are protected by intellectual property laws.
- You may not copy, modify, distribute, or create derivative works based on the Services without our prior written consent.
- You retain ownership of any content, logos, or branding you upload to the Services for use in your property’s booking engine or guest communications.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- AXA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.
- OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO AXA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
- THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE) AND EVEN IF AXA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13. Indemnification
You agree to indemnify and hold harmless AXA, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Services.
- Your violation of these Terms.
- Your violation of any applicable law or third-party rights.
- Content or data you upload to or transmit through the Services.
14. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AXA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
15. Dispute Resolution
- Informal Resolution: Before filing a formal dispute, you agree to contact us at legal@axapms.com and attempt to resolve the issue informally for at least 30 days.
- Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
- Arbitration: Any disputes not resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Delaware.
- Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
- Exceptions: Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction for issues related to intellectual property or unauthorized access.
16. Modifications to Terms
We may update these Terms from time to time. When we make material changes:
- We will post the updated Terms on our website.
- We will update the “Effective Date” at the top.
- For significant changes, we will notify you via email at least 30 days before the changes take effect.
Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
17. Termination by AXA
We may suspend or terminate your account if:
- You violate these Terms or our Acceptable Use policies.
- Your account is used for fraudulent or illegal activity.
- You fail to pay subscription fees after the grace period.
- Continued provision of Services to you is no longer commercially viable.
In the event of termination for cause, we will provide written notice and, where possible, an opportunity to cure the violation within 14 days (except in cases of illegal activity or security threats). You may export your data during this period.
18. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and AXA.
- Severability: If any provision of these Terms is held invalid, the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
- Assignment: You may not assign your rights under these Terms without our prior written consent. AXA may assign its rights without restriction.
- Force Majeure: AXA shall not be liable for delays or failures in performance caused by events beyond our reasonable control.
